Under terms of a $9.6 billion deal announced this morning,
Digital Equipment Corp. becomes a wholly owned subsidiary of
Compaq Computer. Digital will keep its brand name and focus.

The merger positions Compaq to challenge IBM as undisputed
computing leader on the Planet Earth -- not just in PCs
where Compaq is already No. 1, but in the enterprise space
as well.
Compaq recently bought Tandem, acquiring its
high-availability, fault-tolerant computing technologies.
With DEC, which boasts stellar sales and service operations
worldwide, Compaq has effectively cemented the finest sales
and service organization in the industry. And positioned
itself to wrest dominance of the enterprise market from IBM
in the next five years.
The deal also gives Compaq leverage against chip king Intel.
The two companies have feuded frequently in recent years
over Intel's stranglehold on the chip market. Though Compaq
has recently done business with Intel rivals, this latest
acquisition gives it rights to DEC's high-end, 64-bit Alpha
processor. Whether it uses it or not, it provides leverage.
